LEGAL POLICY FOR MEMBERSHIPS AND E-COMMERCE MARKETPLACE

INTRODUCTION
ItsHerWay.com ("Platform", "Marketplace", "Company", "IHW") is an exclusive women-centric ecosystem offering e-commerce opportunities, business acceleration, professional development, community engagement, visibility support, and career development tools for female entrepreneurs and career-driven women.
This Member’s Policy Contract governs the rights, responsibilities, and obligations of all ItsHerWay members across Community, Commerce, Careers, and ItsHerMomentum memberships. By joining ItsHerWay.com, you agree to comply with this Policy, including the Terms of Use, Privacy Policy, and any additional membership-specific terms.
1. MEMBERSHIP ELIGIBILITY
1.1 Membership is open to female-led businesses, women entrepreneurs, and career-focused women aged 18+.
1.2 Unregistered or early-stage businesses may be granted a 12-month acceleration period to establish legal compliance.
1.3 Career women may join for professional development but are not permitted to sell products/services unless they qualify under Commerce membership eligibility.
1.4 Momentum membership applicants must acknowledge that services are delivered in partnership with independent third-party providers.
2. MEMBERSHIP TYPES & TERMS
2.1 Community Membership
● Access to community networking, mentorship, weekly updates, and visibility opportunities.
● Members cannot list or sell products/services unless they upgrade to Commerce.
● One-time non-refundable activation fee.
● Benefits valid for 12 months.
● All community members must follow ItsHerWay’s ethical and community guidelines.
2.2 Commerce Membership
● Allows listing and selling of products/services on ItsHerWay Marketplace.
● One-time non-refundable activation fee required to establish an online store.
● Members receive 90% net payout of completed transactions.
● Members receive 90% net payout of completed transactions.
● Sellers are responsible for all taxes (VAT, corporate tax, etc.).
● Compliance with all product, service, and legal listing requirements is mandatory.
2.3 Careers Membership
Depending on the selected package, benefits may include:
● One-on-One Mentorship
● Career Development Workshops
● Bi-Annual Careers Day
● Job Placement Assistance
● Access to Special Programs
● Mentor matching & professional skill-building
● Career-focused networking events
2.4 ItsHerMomentum Membership
Momentum Membership includes:
● Content editing (reels, posts, stories)
● Monthly content calendars
● Strategy calls
● Quarterly deep-dive sessions
● Q&A support
● Visibility spotlights
● Accountability support
● IHW Community access
● IHW Event access
Momentum services are delivered by an independent third-party service provider.
The partner is not an employee or agent of ItsHerWay. ItsHerWay is responsible only for services billed directly through ItsHerWay.
Any direct engagement between the member and the partner outside the official IHW invoicing system releases ItsHerWay from all responsibility and liability.
3. LISTING AND SELLING PRODUCTS/SERVICES
3.1 Members must ensure legality, accuracy, and authenticity of all product/service listings.
3.2 Misleading, false, or infringing listings will result in suspension
3.3 Orders must be fulfilled on time; delays or cancellations may attract penalties.
Restricted Items:
● Illegal or counterfeit item
● Adult products or services
● IP-infringing material
● Any items prohibited by platform guidelines
4. PAYMENT AND FEES
4.1 ItsHerWay charges a 10% commission per transaction unless agreed otherwise.
4.2 Payouts:
● Monthly payouts if balance exceeds AED 300
● Balances under AED 300 roll over to the next cycle.
4.3 Penalties:
● Delayed fulfillment: 5% penalty per day
● Seller cancellations: 5% penalty
4.4 Membership Fees:
● All membership fees are non-refundable
● A mandatory 45-day cancellation notice applies to all membership types (revised from the previous 30 days).
● Payouts for sales made during the notice period will be released within 90 days after notice expiry.
5. STORAGE AND LOGISTICS SUPPORT
5.1 Storage and logistics support is available at prevailing rates.
5.2 Members bear all return shipment costs.
5.3 ItsHerWay is not liable for transit or storage loss/damage.
5.4 Customs documentation is the responsibility of the member’s legal entity.
5.5 Any additional operational services performed by ItsHerWay must be prepaid or deducted from payouts.
6. MEMBER OBLIGATIONS AND NON-PERMITTED USAGE
Members must uphold professionalism and ethical behavior while engaging with ItsHerWay.
Prohibited activities include:
● Misrepresentation or false information
● Harassment, bullying, or abusive behavior
● Spamming, phishing, or platform circumvention
● Operating multiple accounts to bypass policies
● Selling restricted or illegal items
● Bypassing ItsHerWay invoicing for Momentum services
7. TERMINATION OF MEMBERSHIP
7.1 Members must submit a 45-day written notice to cancel their membership.
7.2 Annual memberships may be refunded (if applicable) within 90 days after the notice period ends.
7.3 ItsHerWay reserves the right to terminate membership immediately for:
● Policy violations
● Legal or ethical breaches
● Repeated customer complaints
7.4 Terminated members forfeit all outstanding benefits.
8. INTELLECTUAL PROPERTY RIGHTS
8.1 Members grant ItsHerWay a non-exclusive, royalty-free license to use:
● Brand name & logo
● Product images & videos
● Descriptions
● Promotional content
8.2 All uploaded content must be legally owned by the member.
8.3 ItsHerWay may use member content for marketing, PR campaigns, newsletters, community features, workshops, and training materials.
8.4 Members may request removal of content with reasonable processing time.
9. LIMITED LIABILITY
ItsHerWay FZ, its employees, partners, or third-party providers shall not be liable for:
● Loss of revenue, profits, or business opportunities
● Service delays or platform downtime
● Errors or actions of third-party service providers
● Consequential, indirect, or punitive damages
● Member-to-member disputes
● Any Momentum-related work conducted privately
● Claims exceeding the value of membership fees paid in the last 12 months
10. FORCE MAJEURE
ItsHerWay is not liable for delays or failures caused by events beyond reasonable control, including:
● Natural disasters
● War, unrest, government restrictions
● Health emergencies, pandemics
● Internet or power outages
● Industrial strikes
● Third-party system failures
Obligations resume once conditions permit.
